Legally Binding Agreement

Binding Agreement. By signing this contract and providing your payment information where indicated or otherwise executing this Agreement, you and Empowering Lightworks, LLC (the “Company” or “we/us”) agree to be bound by this Flourish Your Purpose Center Mid-Level 9-Month Membership agreement (the “Agreement”) that set forth the terms that shall apply to your participation in the program.

Consent to Abide by these Terms and Package Guidelines. By agreeing to this Agreement, you acknowledge that you have read, agree to, and accept all of the terms and conditions contained in this Agreement. We may amend this Agreement at any time by sending you a revised version at the address you provide in your registration form provided you expressly agree to such revisions or, in the alternative, continue your participation in the for more than seven (7) days without objection or notice following receipt of such amended terms.

Payment of Membership Fees. By completing the program payment form above, you authorize the Company to charge your credit, debit card, cash your check, or submit a payment through a payment provider as payment for the Membership in the Center. If the Company is unable to accept you as a result of not having sufficient space, we will notify you accordingly and give you the option to receive a full refund of the fees paid or, in the alternative, to reserve the next available Center membership opening.

Have Integrity to Your Payment Obligations. In all cases, you are responsible for full payment of fees for the entire course of the Annual Membership, regardless of whether you actually participate in or utilize the Membership. No refunds will be issued and all monthly payments must be paid on a timely basis. If a monthly payment is late, you will stop receiving Membership emails and benefits until your payment is received. If your payment becomes more than 30 days late, the entire balance becomes due and payable immediately at day 31.

Your Mid-Level 9-Month Membership will automatically renew nine months from your start date. You will have 30 days to modify your Membership level or cancel your Membership. Refunds will be pro-rated to reflect any change of Membership level or continued use of your Membership benefits. You will receive a full refund for cancellation if you have not used your Membership benefits within this 30-day period.

If you do not modify or cancel your Membership within 30 days after automatic renewal, you will be responsible for all required fees regardless of your participation level.

Respect the Facilitator. In the event that you are disruptive, impair effective delivery of the Membership, or breach a term of this Agreement and fail to correct such behavior within ten (10) days following receipt of written notice from Company to the email address you have provided in your registration form, the Company may terminate this agreement, and limit, suspend or terminate your Membership without refund or forgiveness of the remaining payments.

Honor Intellectual Property Rights. You agree not to infringe or violate on copyright, patent, trademark, trade secret or other intellectual property rights of the Company. You further agree that (i) all materials and information provided to you by the Company are its Confidential Information and/or proprietary intellectual property that belongs solely and exclusively to the Company and may only be used by you as authorized by the Company, and (ii) the reproduction, distribution and sale of Company materials by anyone but the Company is strictly prohibited. Further, you agree that, if you violate, or display a clear likelihood of violating any of your obligations contained in this paragraph, the Company will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.

Notwithstanding the foregoing, nothing in the previous paragraph is intended to restrict you from using information that was known by you prior to your Center Membership, is publicly available from a source other than a fellow participant or the Company, or is required pursuant to any legal requirements or subpoena.

Your Actions Guide Your Success. We have made every effort to accurately represent the Membership and its potential and are available to answer any questions that you may have regarding the nature and content included within the Membership. While the Membership will provide you with tools and information that we believe can support your personal and spiritual growth, your success and results depend on many factors, including your background, dedication, desire, motivation, and the time you spend implementing the Membership material.

By participating in this Membership, you also acknowledge and agree that payment of your Membership participation fees will not place a significant financial burden on you or your family.

We Make No Warranties, Guarantees, Nor Provide Any Treatments or Diagnoses. As with any endeavor, there is no guarantee that you will experience specific results by participating in the Program. For this reason, EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH HEREIN, NEITHER PARTY MAKES ANY REPRESENTATIONS OR GRANTS ANY WARRANTIES, EXPRESS OR IMPLIED, EITHER IN FACT OR BY OPERATION OF LAW, BY STATUTE OR OTHERWISE, AND EACH PARTY SPECIFICALLY DISCLAIMS ANY OTHER WARRANTIES, WHETHER WRITTEN OR ORAL, OR EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF QUALITY, MENTAL/EMOTIONAL, /PHYSICAL, SPIRITUAL, RELATIONSHIP OR FINANCIAL SUCCESS OR FITNESS FOR A PARTICULAR USE OR PURPOSE.

Governing Law; Limitation of Liability. This Agreement shall be governed by the laws of the State of Michigan (excluding it conflicts of laws principles). In the event that either party brings a claim for breach of contract or otherwise initiates a formal dispute, all such disputes shall be initiated in the City and County of Marquette, Michigan. OTHER THAN FEES PAYABLE TO COMPANY BY PARTICIPANT HEREUNDER OR A BREACH OF CONFIDENTIALITY OR INFRINGEMNT OF INTELLECTUAL PROPERTY, NEITHER PARTY IS LIABLE TO THE OTHER PARTY FOR CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR DIRECT DAMAGES IN EXCESS OF TWO HUNDRED ($200) DOLLARS.

Thank you for your application and execution of this Agreement. Empowering Lightworks, LLC, will contact you within 7 business days via email or phone to confirm that we have reserved a Membership spot for you. We will process your deposit or payment in full for the amount indicated in your registration form, and we will send you the details for your Flourish Your Purpose Center Mid-Level 9-Month Membership within one week. As indicated above, if we are unable to provide you the Membership as a result of not having space or for other reasons that would impair your participation, we will offer you the opportunity to elect to either receive a full refund your fees or to apply your fees toward the next Membership period that has availability.
